Governance & business ethics
The Board and its Committees play a central role in the Company’s governance by providing an external and independent perspective on matters material to Abcam’s stakeholders, and by seeking to ensure that effective internal controls and risk management measures are in place.
The Board also promotes a culture of good governance throughout the Company by creating an environment of openness, transparency, accountability and responsibility.
Compliance with the UK Corporate Governance Code 2018 (“Code”)
The Code sets out the principles of good practice in relation to corporate governance to be followed by companies with a full listing on the London Stock Exchange. Although as an AIM-listed company we are not required to comply with the Code, the Board believes that it is appropriate for Abcam to comply with the Code in so far as it relates to companies which are outside the FTSE 350. This document sets out how Abcam complied with the Code for the year ended 30 June 2020, together explanations regarding any areas of non-compliance.

How we do things at Abcam
Our employee code of conduct is called “How we do things at Abcam” and defines who we are as a company, how we make decisions, what standards we expect and how we behave amongst ourselves and with others. The code has been translated into simplified Chinese, traditional Chinese and Japanese to ensure that our employees are able to read this important document in their own language. All employees are required to undergo anti-bribery training at least once a year, and training is available in English, simplified Chinese and Japanese. See our Employee Code.
Supplier Code of Conduct
We expect our suppliers to demonstrate a culture that reinforces ethical and lawful behaviours and ensures all aspects of its business comply with all applicable laws and regulations, both in the country in which the supplier operates, and in the country to which the service or products will be supplied. Our Supplier Code of Conduct clearly sets out our expectations of our suppliers. Suppliers are required to confirm compliance with the Code. See our Supplier Code. Distributor Code of Conduct
We require our distributors to follow all applicable laws and regulations in the countries in which they operate as distributors for Abcam, and to demonstrate a culture that reinforces ethical and lawful behaviours. Our Distributor Code of Conduct clearly sets out our expectations of our distributors. Distributors are required to confirm compliance with the Code. See our Distributor Code.
